Introduction and Legal Status
Welcome to SoftCodeX. These Terms of Service govern your use of our website (https://softcodex.co.uk) and the purchase of our software products and custom development services. SoftCodeX LTD is a registered company in England and Wales (Company No. 16629615). By accessing our platform, you agree to be legally bound by these terms.
Description of Services
SoftCodeX LTD provides high-level engineering solutions, including:
- Consulting & Automation: Business process optimization and data architecture.
- Ready-to-use Software: Web scrapers, automation scripts, and digital tools.
- Custom Enterprise Solutions: Bespoke ERP (Enterprise Resource Planning) systems and backend logic.
Third-Party Marketplace Protection (Fiverr & Upwork)
We understand that trust is paramount in software development. While we offer direct services via our website, SoftCodeX LTD also maintains verified profiles on third-party platforms such as Fiverr and Upwork.
- Please note that transactions conducted on those platforms are subject to their respective Terms of Service in addition to our own quality standards.
- Clients who prefer third-party escrow and mediation are welcome to hire us through these platforms.
Payments, Transactions, and Security
All financial transactions on our website are handled through industry-standard secure payment processors, including PayPal and Stripe.
- Billing for Enterprise Projects: Large-scale projects (like ERPs) are typically billed based on milestones defined in a separate Statement of Work (SOW).
- Security: We do not store your credit card or sensitive financial data on our servers.
- Billing for Products: Payments for downloadable scripts and scrapers are required in full at the point of sale.
Intellectual Property Rights
Proprietary Software: For “off-the-shelf” scripts and scrapers, you are granted a non-exclusive license to use the software. You may not resell or redistribute the source code unless a Reseller License is purchased.
Custom Code: For bespoke enterprise development, the Intellectual Property (IP) and source code ownership are transferred to the Client only upon completion of full payment for the project. SoftCodeX LTD retains the right to use non-unique code snippets and general logic developed during the process.
Specific Disclaimer for Web Scrapers
Web scrapers are designed to interact with third-party websites. SoftCodeX LTD cannot guarantee the lifetime functionality of a scraper if the target website changes its layout, structure, or security protocols (e.g., Cloudflare updates).
- We offer maintenance and update services to fix broken scrapers, but these are billed as additional support unless a maintenance contract is in place.
Limitation of Liability
SoftCodeX LTD provides software “as is.” To the maximum extent permitted by UK law, we shall not be liable for any direct, indirect, or consequential loss or damage (including loss of data or profits) arising from the use of our software or the inability to use it. It is the user’s responsibility to ensure their use of our tools (especially scrapers) complies with the terms of the target website and local data laws.
Delivery and Refund Policy
- Digital Products: Due to the nature of digital software and source code, we generally do not offer refunds once the software has been downloaded or the code delivered.
- Custom Services: Refund requests for custom development are handled on a case-by-case basis and are limited to the specific milestone currently in progress.
User Conduct and Account Security
If you create an account via Google Sign-In, you are responsible for all activity under that account. You agree not to:
- Use our tools for any illegal purpose or “black-hat” hacking activities.
- Attempt to reverse-engineer our proprietary licensing systems.
- Provide false information during the checkout process.
Service Level Agreements (SLA) & Maintenance
For enterprise-level ERP systems, SoftCodeX LTD offers separate Maintenance Agreements. Without a signed SLA, we do not guarantee 24/7 uptime or immediate bug fixes, though we strive to provide support within 24–48 business hours.
Governing Law
These terms are governed by the laws of England and Wales. Any legal disputes shall be settled exclusively in the courts of England and Wales.
